  • Represents real estate investors in acquisitions and dispositions of commercial real estate, including conducting due diligence, preparing purchase and sale documents, reviewing title and survey issues, and negotiating financing documents

  • Represents commercial real estate owners in general commercial real estate matters such as negotiating leasing documents, asset management, and operating issues

  • Represents real estate investors in the negotiation and formation of joint venture partnerships with equity partners to purchase and operate commercial real estate assets

COMMERCIAL LENDING

  • Represents lending institutions in negotiating and closing conventional real estate loans, including construction loans, permanent financing, asset-based lending and government guaranteed lending such as the U.S. Small Business Administration’s 7(a) and 504 loan programs

  • Represents non-bank lenders in structuring and closing loan sale agreements

  • Structure and draft construction loans for lenders and purchasers 

REAL ESTATE FINANCE AND INVESTMENT

  • Represents non-bank lenders in structuring financial products secured by commercial real estate 

  • Prepare equity syndication documents on behalf of real estate investors seeking to raise equity for real estate purchases 

  • Negotiate and draft joint venture agreements between sponsors and preferred equity partners for commercial real estate investments 

GENERAL CORPORATE AND BUSINESS

  • Serve as outside general counsel to many small businesses and counsel clients on matters such as negotiating leases for space, employment matters, business formation and operating agreements, and general business strategy and corporate issues

  • Represents middle-market businesses in negotiating merger and acquisitions and developing business strategies for growth, including counseling clients on acquisition strategies and complying with securities laws 

  • Represents clients in negotiating and drafting asset, stock and membership interest purchase agreements and related documents for such transactions

BUSINESS LITIGATION AND INVESTMENT DISPUTES

  • Represents a closely-held real estate company in an action against the estate of the majority shareholder for claims of breach of fiduciary duties, fraud, breach of contract and dilution of ownership interests

  • Represented real estate sponsors in actions brought by limited partners relating to breaches of fiduciary duties and breach of contract

  • Represents commercial landlords in commercial lease disputes relating to breaches of contract, allegations of constructive eviction, and failure to mitigate

CREDITOR'S RIGHTS AND FINANCIAL SERVICES LITIGATION 

  • Represents financial institutions and investment management companies in loan workout/financial services litigation against borrowers, including commercial collection actions for replevin, repossession of collateral, fraudulent transfer litigation, and post-judgment collection proceedings

  • Represents lenders and investors in commercial promissory note and guaranty litigation

  • Represents lenders and investors in comercial foreclosure proceedings
